Terms and Conditions

The terms and conditions listed below form the basis for our services. Deviating agreements must be made in writing to be effective.

An order that has been places requires written confirmation in order to be effective. A subsequent change can of course only be made in writing.

Price agreements that deviate from our price list are only validly agreed if they have been confirmed in writing by Synercube GmbH (hereinafter referred to as Synercube).

Synercube endeavors to fulfill all orders correctly and on time. In cases of the necessary postponement of the deadline, it will fulfill its obligation as soon as possible. A claim for damages from this is excluded, except when caused by gross negligence or willful misconduct.

Liability is limited in terms of reason and amount by the insurance conditions that are usually applicable in the context of general business liability insurance. Liability for financial losses is limited to the fee amount, however, to a maximum of € 25,000. If Synercube is entrusted with the planning and monitoring of certain services that are carried out by third parties, Synercube is only liable in the event of oversight errors to the extent that a replacement cannot be obtained form the company carrying out of work.

For reasons of force majeure, Synercube has an unrestricted right of withdrawal. Claims of any kind cannot be asserted from this.

Should the contractual parnter withdraw from the contract on the basis of a mutual agreement:

a) For consultations and in-house projects, 50% of the agreed fee must be paid.

If, at the request of the client and by mutual agreement with Synercube, it is possible to reschedule the date, the client bears the costs incurred as a result of the postponement, but at least for each man-day agreed upon if a new date is agreed: for seminars and consultations € 300.

b) In the case of open seminars, the participation fee will be fully reimbursed if the cancellation is received by Synercube up to four weeks before the start of the seminar. If you cancel or chage your registration within the four-week period, a processing fee of € 250 will be charged. Preparatory material used will be charged additionally.

If Synercube is not informed of a cancellation or a change of registration up to one week before the start of the seminar, the entire participation fee will be due. Cancellation costs in connection with the hotel reservation will be charged additionally.

In the case of services by other entrepreneurs that are part of the contract, Synercube only acts as an intermediary. There are no claims against Synercube.

Synercube reserves the right to replace the speakers and employees named in the program and the agreement at short notice.

As far as the overall order ist fulfilled in individual steps, the billing takes places after each section. After the invoice has been issued, the respective partial amount must be paid to Synercube within one week of receipt of the invoice. If payment is not made on time, the client will be in default without a reminder. Synercube is then entitled to demand the total feee as an advance payment without observing a deadline. The client has no right of retention.

Should individual clauses of these general terms and conditions be ineffective, this shall not affect the effectiveness of the remaining clauses.

The place of perfomance for the services of Synercube is Leverkusen. The court district responsible for Leverkusen is deemed to be the agreed place of jurisdiction.
